1. Binding Agreement

By using DeeCee.ai (the "Service"), you agree to these Terms of Service. If you are entering into this on behalf of a company, you represent you have authority to bind that entity.

2. Service Description

DeeCee.ai is an AI-powered decision-support platform that applies structured frameworks (SPADE, DACI, hybrids) augmented by Retrieval-Augmented Generation (RAG) from your uploaded and crawled documents.

5. Acceptable Use & User Warranties

You represent and warrant that:

  • You have all necessary rights and authorizations to upload and process any document or data
  • Uploaded content does not contain third-party trade secrets, classified information, or material you are not permitted to disclose
  • You will not use the Service for regulated activities requiring special licensing (e.g., medical diagnosis, air-traffic control)

6. Intellectual Property

6.1 Your Content

You grant us a worldwide, revocable, non-exclusive license to process, create embeddings, and display Your Content solely to provide the Service. Embeddings are pseudonymized and never linked back to you for training.

6.2 Our IP

All algorithms, framework templates, orchestrator logic, UI/UX, and branding remain our exclusive property.

9. Disclaimers & AI Limitations

THE SERVICE IS A DECISION-SUPPORT TOOL ONLY.

You acknowledge and agree:

  • Outputs may contain errors, biases, or hallucinations
  • Framework selection (auto or manual) is advisory only
  • You must independently validate all recommendations before acting
  • We provide no legal, financial, investment, or other professional advice

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for indirect, consequential, or punitive damages
  • Total liability capped at:
    • Free users: $100 USD
    • Paid users: Greater of $1,000 USD or fees paid in prior 12 months

11. Indemnification

You will defend and indemnify us against any third-party claim arising from:

  • Your uploaded content infringing IP or containing unauthorized confidential information
  • Your use of outputs in violation of law or regulation

15. Governing Law & Dispute Resolution

15.1 Governing Law

Minnesota, USA (without regard to conflicts of law).

15.2 Mandatory Binding Arbitration

Any dispute arising from these Terms or the Service shall be resolved exclusively through final, binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted in Minneapolis, Minnesota (or via video conference). NO CLASS ACTIONS OR JURY TRIAL.

Exceptions: Small claims court or IP infringement claims may be brought in court.

15.3 30-Day Informal Negotiation

You agree to first contact support@deecee.ai and attempt good-faith negotiation for 30 days before initiating arbitration.

16. Miscellaneous

16.4 Survival

Sections concerning IP, limitations of liability, indemnification, and dispute resolution survive termination.

16.5 Force Majeure

Includes LLM provider outages, cloud provider downtime, and government censorship of AI services.
